Following initial set-up, there are many reasons why a company, or group of companies, may want to reorganise its corporate structure. Examples include:
- consolidating group companies into a more secure, simplified or tax efficient structure;
- making the group more attractive to investors and lenders;
- separating valuable assets from trading liabilities;
- ring-fencing failing divisions into a separate company; and
- extracting excess cash or fixed assets in anticipation of a disposal or investment.

We commonly advise and assist on capital reduction demergers, section 110 demergers, intra-group transfers and hive-ups of assets and shares, schemes of arrangement, share buybacks and other changes to the share capital of a company.
We also advise financial institutions and investors in the context of investments and secured lending and insolvency practitioners where a solvent restructure or an insolvency process is anticipated.
